Terms & Conditions of Sale

Article 1 — Seller Identification

Article 2 — Scope

These Terms and Conditions of Sale (hereinafter “T&Cs”) apply to any order placed with Spiridon Group SRL via the website www.spiridondeco.com or by any other means (email, telephone, purchase order).

Any order implies full and unreserved acceptance of these T&Cs. Spiridon Group SRL reserves the right to amend them at any time. The applicable T&Cs are those in force on the date the order is placed.

These T&Cs are primarily intended for professional clients (architects, interior designers, hoteliers, property developers). The consumer protection provisions of Belgian law apply where applicable to non-professional buyers.

Article 3 — Products

Spiridon Group SRL offers artisan light fixtures, produced either bespoke or in limited series. The essential characteristics of each product (dimensions, materials, finishes) are described on the website and in the catalogues.

Due to the handcrafted nature of our production, slight variations in colour, texture or dimensions may exist between products shown on the website and products delivered. Such variations, inherent to artisan manufacture, do not constitute a defect.

Products are available subject to existing stock levels. For bespoke products, availability is confirmed at the time the quote is issued.

Article 4 — Prices

Prices are quoted in euros (€) excluding VAT (ex-VAT) unless otherwise stated. Applicable VAT will be added at the time of invoicing in accordance with current legislation.

Spiridon Group SRL reserves the right to amend its prices at any time. The applicable prices are those in force on the date the order is placed.

Shipping and packaging costs are charged separately unless otherwise specified in the quote or order confirmation.

Article 5 — Orders

All orders must be confirmed in writing (email or signed purchase order). An order is considered firm and final upon receipt of the agreed deposit payment or, in the absence of a deposit, upon receipt of written confirmation from the client.

For bespoke products, the client is invited to verify the technical specifications before validation. Any modification after the purchase order has been validated may result in additional charges and an extension of the production lead time.

Spiridon Group SRL reserves the right to refuse any order on legitimate grounds (insufficient stock, manifest pricing error, creditworthiness concerns, etc.).

Article 6 — Payment Terms

Unless otherwise specified in the quote:

• Deposit: 50% of the total amount (VAT inclusive) upon order validation
• Balance: 50% upon notification of readiness for dispatch, prior to shipment
• Accepted payment methods: bank transfer, credit card (via secure payment platform)

Any late payment will result in interest charges at the statutory rate applicable in Belgium, plus a flat-rate indemnity of 15% of the outstanding amount. In the event of non-payment, Spiridon Group SRL reserves the right to suspend fulfilment of the order.

Article 7 — Production and Delivery Lead Times

Production lead times are given as estimates at the time of order confirmation. They run from receipt of the deposit and final validation of technical specifications.

For standard products, the usual lead time is 6 to 10 weeks. For complex bespoke products, this may extend to 12 to 16 weeks. Any specific lead time is stated in the quote.

Risk transfers when the goods are handed over to the carrier (EXW Tournai conditions, Incoterms 2020, unless otherwise agreed). Spiridon Group SRL accepts no liability for damage or delays occurring during transport.

The client is advised to inspect the condition of parcels upon delivery and to raise any reservations with the carrier in the event of apparent damage.

Article 8 — Retention of Title

Spiridon Group SRL retains title to all goods sold until full payment of the price, including principal and ancillary charges, has been received. Title transfers only upon receipt of full payment.

In the event of non-payment, Spiridon Group SRL may claim the return of the goods, even if they have been incorporated into other items, without prejudice to any claim for damages.

Article 9 — Returns and Claims

Bespoke products may not be returned or exchanged, except in the case of a proven non-conformity defect.

Any claim must be submitted in writing to info@spiridondeco.com within 8 working days of receipt of the goods, accompanied by photographs and a description of the defect identified.

Spiridon Group SRL will examine each claim and offer, as appropriate: repair, replacement or credit note. No return will be accepted without our prior written agreement.

Article 10 — Warranties

Our products carry a warranty against manufacturing defects for 2 years from the date of delivery.

The warranty covers material and manufacturing defects under normal conditions of use. It excludes:

• Damage resulting from improper use, non-compliant installation or lack of maintenance
• Normal wear and tear
• Damage caused by third parties or external events (impacts, excessive humidity, etc.)
• Aesthetic variations inherent to the artisan nature of the products

Article 11 — Liability

The liability of Spiridon Group SRL is limited to the value of the order concerned. Under no circumstances shall Spiridon Group SRL be held liable for indirect damages, loss of business or intangible losses suffered by the client.

Spiridon Group SRL shall not be held liable in the event of force majeure (natural disaster, strike, epidemic, transport incident, etc.) causing a delay or impossibility of fulfilment.

Article 12 — Intellectual Property

All creations of Spiridon Group SRL (models, drawings, plans, photographs, catalogues) are protected by intellectual property rights. Any reproduction, even partial, is prohibited without prior written authorisation.

Article 13 — Governing Law and Jurisdiction

These T&Cs are governed by Belgian law. Any dispute relating to their interpretation or performance shall be submitted, in the absence of an amicable resolution, to the exclusive jurisdiction of the courts of the judicial district of Tournai (Belgium).
